Terms of Service

Please review these Terms carefully—they govern your access to and use of VidPal products and services.

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you and PepoCloud LLC (“VidPal,” “we,” “our,” or “us”) and govern your access to and use of our websites (including vidpal.ai), applications, video recording tools, video editing and sharing features, AI enhancement services, analytics, campaign services, integrations, and related services (the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to the entity.

2. Privacy

Our Privacy Notice describes how we collect, use, and share personal data. By using the Services, you acknowledge that your information will be processed in accordance with that notice.

3. Eligibility and Authority

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and capable of entering into a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind the organization to these Terms.

4. Accounts and Security

You may need an account to use certain features. You must provide accurate, current information and keep it updated. You are responsible for safeguarding your credentials and for all activities under your account. Notify us immediately of any unauthorized use of your account. We may reclaim usernames on behalf of businesses or individuals that hold legal rights to those names.

5. Use of the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your business or personal purposes. We may modify, suspend, or discontinue the Services (in whole or in part) at any time. Certain features may be in beta or pre-release and may change without notice.

6. Your Content and Permissions

You retain ownership of videos, recordings, and other content you upload to the Services (“User Content”). By uploading content, you grant VidPal a worldwide, royalty-free, non-exclusive license to store, process, transcode, and display your User Content solely as needed to provide and improve the Services.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe or violate any third party's rights.

You must not upload content that is illegal, harmful, defamatory, obscene, or that infringes on the intellectual property or privacy rights of others.

7. VidPal Intellectual Property

The Services, including all software, design, text, graphics, logos, trademarks, and other materials, are owned by VidPal or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, we reserve all rights in and to the Services. Our trademarks may not be used without our prior written consent.

8. Acceptable Use

You may not use the Services to: (a) reverse engineer, decompile, or disassemble the Services; (b) interfere with or disrupt the Services or servers; (c) use the Services for any illegal purpose; (d) upload or transmit malware, viruses, or other harmful code; (e) scrape, harvest, or collect data from the Services without authorization; (f) impersonate any person or entity; (g) circumvent any access controls, authentication mechanisms, or usage limits; or (h) use bots, crawlers, or other automated tools to access the Services without our prior written permission.

9. Integrations and Third-Party Services

The Services allow you to connect with third-party platforms and integrations. When you enable an integration, you authorize us to transmit and receive data between VidPal and the third-party service as necessary to provide the integration functionality.

Your use of third-party services is governed by those services' own terms and privacy policies. You are responsible for maintaining your credentials and permissions with third-party services.

We are not liable for any issues arising from third-party services, including downtime, data loss, or changes to their APIs or terms.

10. Use of HubSpot CRM Data

If you connect your HubSpot CRM account to VidPal via OAuth, you authorize us to:

  • Access your HubSpot contacts data
  • Create and update contacts when viewers watch your videos
  • Log video engagement (views, watch time, CTA clicks) as activities on contact records

We do not access data unrelated to providing these integration features. Your HubSpot OAuth tokens are encrypted at rest and in transit. You may disconnect the integration at any time through the Services, which revokes our access.

Your use of HubSpot is also subject to HubSpot's own terms of service and privacy policy.

11. Use of Salesforce CRM Data

If you connect your Salesforce account to VidPal via OAuth, you authorize us to:

  • Access your Salesforce leads and contacts
  • Create new leads when viewers engage with your videos
  • Log video engagement data as tasks on lead/contact records

Your Salesforce OAuth tokens are encrypted at rest and in transit. You may disconnect the integration at any time through the Services.

Your use of Salesforce is also subject to Salesforce's own terms of service and privacy policy.

12. Use of Zoho CRM Data

If you connect your Zoho CRM account to VidPal via OAuth, you authorize us to:

  • Access your Zoho leads and contacts
  • Create new leads when viewers engage with your videos
  • Log video engagement data as notes on lead/contact records

Your Zoho OAuth tokens are encrypted at rest and in transit. You may disconnect the integration at any time through the Services.

Your use of Zoho CRM is also subject to Zoho's own terms of service and privacy policy.

13. Use of Copper CRM Data

If you connect your Copper CRM account to VidPal using your API key and email, you authorize us to:

  • Access your Copper people data
  • Create and update people records when viewers engage with your videos
  • Log video engagement data as activities on people records

We do not access data unrelated to providing these integration features. Your API keys are encrypted at rest and in transit. You may disconnect the integration at any time through the Services.

Your use of Copper is also subject to Copper's own terms of service and privacy policy.

14. Use of ActiveCampaign Data

If you connect your ActiveCampaign account to VidPal using your API key and account URL, you authorize us to:

  • Access your ActiveCampaign contacts
  • Create and update contacts via the sync endpoint when viewers engage with your videos
  • Log video engagement data as notes on contact records

Your API credentials are encrypted at rest and in transit. You may disconnect the integration at any time through the Services.

Your use of ActiveCampaign is also subject to ActiveCampaign's own terms of service and privacy policy.

15. Use of Close CRM Data

If you connect your Close CRM account to VidPal using your API key, you authorize us to:

  • Access your Close leads and contacts
  • Create and update leads when viewers engage with your videos
  • Log video engagement data as notes on lead records

Your API keys are encrypted at rest and in transit. You may disconnect the integration at any time through the Services.

Your use of Close is also subject to Close's own terms of service and privacy policy.

16. Use of Freshsales CRM Data

If you connect your Freshsales account to VidPal using your API key and domain, you authorize us to:

  • Access your Freshsales contacts
  • Create and update contacts when viewers engage with your videos
  • Log video engagement data as notes on contact records

Your API keys are encrypted at rest and in transit. You may disconnect the integration at any time through the Services.

Your use of Freshsales is also subject to Freshworks' own terms of service and privacy policy.

17. Use of Monday.com Data

If you connect your Monday.com account to VidPal using your API token, you authorize us to:

  • Access your Monday.com board and item data via GraphQL
  • Search items across your boards
  • Post video engagement data as updates on matching items

Your API tokens are encrypted at rest and in transit. You may disconnect the integration at any time through the Services.

Your use of Monday.com is also subject to Monday.com's own terms of service and privacy policy.

18. Use of Zapier Data

If you connect your Zapier account to VidPal via OAuth, you authorize us to send event data to your Zapier triggers, including:

  • Video view events
  • CTA click events
  • Campaign launch events
  • Engagement threshold events
  • New video creation events

You control how your Zaps process and route this data. You are responsible for the security and compliance of your Zap configurations.

Your use of Zapier is also subject to Zapier's own terms of service and privacy policy.

19. Use of Make.com Data

If you connect Make.com (formerly Integromat) to VidPal via webhook, you authorize us to send event data to your specified webhook URL.

You are responsible for the security of your webhook endpoint and for ensuring your data handling complies with applicable laws and regulations. Webhook URLs are stored securely within the Services.

Your use of Make.com is also subject to Make.com's own terms of service and privacy policy.

20. Use of Slack Data

If you connect your Slack workspace to VidPal via OAuth, you authorize us to post notifications to your selected Slack channel.

We do not read messages or access any data beyond posting notifications to the channel you designate. Your Slack OAuth tokens are encrypted at rest and in transit. You may disconnect the integration at any time through the Services.

Your use of Slack is also subject to Slack's own terms of service and privacy policy.

21. Use of Tracking Pixel Data

VidPal allows you to configure tracking pixels from third-party platforms on your video share pages, including: Google Analytics, Google Tag Manager, Meta (Facebook) Pixel, LinkedIn Insight Tag, Twitter/X Pixel, TikTok Pixel, and Pinterest Tag.

You provide your pixel/tag IDs, and the corresponding third-party scripts are embedded on your video share pages. These scripts may collect viewer data including page views, interactions, and device information for analytics and retargeting purposes.

You accept full responsibility for compliance with each platform's terms of service and for obtaining any necessary viewer consent for tracking and retargeting under applicable privacy laws (including GDPR, CCPA, and other data protection regulations).

22. Use of AI Processing Services

VidPal uses third-party AI services to provide certain features, including:

  • AssemblyAI — for audio transcription and caption generation
  • ElevenLabs — for AI dubbing and voice synthesis
  • OpenAI — for AI-powered features such as video summaries, chat, and content enhancement

When you use AI features, your video audio and/or content may be sent to these third-party services for processing. By using AI features, you consent to this processing.

We select AI providers that maintain appropriate security standards. However, you acknowledge that data processed by third-party AI services is subject to those providers' own terms and privacy policies.

23. Video Content and Recordings

You own your recordings and video content. We process and store videos on your behalf to provide the Services, including transcoding, thumbnail generation, and delivery.

Videos you share are accessible via unique URLs. You are responsible for the content you share publicly and for managing access controls (such as password protection) where appropriate.

We reserve the right to remove content that violates these Terms, applicable law, or our acceptable use policies.

24. Campaigns and Personalized Links

VidPal allows you to create campaigns with personalized video links for recipients. Campaign recipient data (including names, email addresses, and custom tokens) is used solely to generate personalized video links and track engagement.

You are responsible for ensuring your use of campaigns complies with applicable email and marketing laws, including CAN-SPAM, GDPR, and other anti-spam regulations, when distributing campaign links.

You represent and warrant that you have obtained all necessary consent to use recipient data in connection with the Services.

25. Paid Plans, Trials, and Renewals

Certain features require a paid subscription. Fees are displayed at checkout and charged on a recurring basis. Subscriptions auto-renew unless canceled before the renewal date. Pricing may change with reasonable notice. Fees are non-refundable once a billing period has begun.

Plan-Specific Limits

  • Free: 10 video uploads, 5 AI caption credits, 1 campaign
  • Starter: 100 video uploads, 50 AI caption credits, 10 dubbing credits, 10 campaigns
  • Pro: Unlimited video uploads, 200 AI caption credits, 50 dubbing credits, unlimited campaigns, team libraries

Specific plan features and limits are described on our pricing page and may be updated from time to time.

26. Fair Usage Policy

Features described as “unlimited” are subject to a fair usage policy. Fair usage limits include:

  • Video recording sessions are limited to a maximum of 2 hours per session
  • API calls are subject to reasonable rate limits
  • Storage usage should be consistent with typical individual or team usage patterns

If your usage significantly exceeds normal patterns, we will notify you and work with you to find a suitable solution before taking any action that may affect your access.

27. Taxes and Additional Costs

All prices are exclusive of taxes unless otherwise stated. You are responsible for any applicable taxes, duties, and currency conversion fees associated with your use of the Services.

28. Video Viewers and Interactions

If you share videos publicly or distribute them through campaigns, you are responsible for managing your relationships with viewers, including compliance with applicable privacy and data protection laws.

You are responsible for obtaining any necessary viewer consent. We are not liable for any disputes between you and your viewers.

29. Beta and Experimental Features

We may offer beta or experimental features that are provided “as is” without any warranties. Beta features may be changed, suspended, or discontinued at any time without notice. Beta features may have different levels of reliability, availability, and security than generally available features.

30. Suspension and Termination

We may suspend or terminate your access to the Services at any time if: (a) you breach these Terms; (b) we are required to do so by law; or (c) we determine it is necessary to protect the Services, our users, or the public.

You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately.

Provisions that by their nature should survive termination — including ownership, warranty disclaimers, indemnification, and limitations of liability — shall survive.

31. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, PEPOCLOUD LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

32. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEPOCLOUD LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

33. Indemnification

You agree to indemnify, defend, and hold harmless PepoCloud LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

34. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to personal jurisdiction in those courts.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST PEPOCLOUD LLC.

35. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. For material changes, we will provide reasonable notice (such as by email or a prominent notice within the Services).

Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
